Terms of Service

By creating an account, accessing, or using the BOPOWO platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. The Service is operated by MUTAO INTERNATIONAL LIMITED, a company incorporated in Hong Kong (registered office: 111 TUNG CHAU STREET THE CLOUD, 5/F, RM 509, TAI KOK TSUI 999077, HONG KONG HK), trading as BOPOWO ("we", "us", or "our").

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include that organization.

If you do not agree to these Terms, do not use the Service.

BOPOWO is a SaaS platform that provides Amazon sellers with tools for listing management, FBA profit tracking, advertising optimization, and brand analytics. The Service is designed to integrate with Amazon's Selling Partner API (SP-API) and Amazon Advertising API to retrieve and display your seller data within your account dashboard.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect the core functionality you rely on.

You must be at least 18 years old and have a valid Amazon seller account to use BOPOWO. By using the Service, you represent and warrant that you meet these requirements and that you are legally permitted to enter into this agreement in your jurisdiction.

The Service is designed for businesses and professional Amazon sellers. Personal Amazon buyer accounts are not supported and cannot be connected to BOPOWO.

You must provide accurate, complete, and current information when registering for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorized that activity.

You must notify us immediately at support@bopowo.com if you suspect or become aware of any unauthorized access to your account. MUTAO INTERNATIONAL LIMITED is not liable for losses resulting from unauthorized use of your account where such use results from your failure to safeguard your credentials.

To use the core features of BOPOWO, you must connect your Amazon seller account through Amazon's OAuth 2.0 authorization flow. By completing the OAuth authorization:

• You explicitly grant BOPOWO permission to access your Amazon seller data in the specific scopes you authorize
• You authorize BOPOWO to store encrypted OAuth tokens to maintain the connection for as long as you use the Service
• The categories of Amazon data we access and the purpose of each are fully disclosed in Section 4 of our Privacy Policy

Your Amazon Policy Compliance Responsibility: You are solely responsible for ensuring that your use of BOPOWO complies with Amazon's Selling Policies, Seller Code of Conduct, Developer Agreement, and Acceptable Use Policy. BOPOWO does not control and is not responsible for Amazon's policies or changes to those policies.

Official APIs Only: BOPOWO will operate exclusively through official Amazon SP-API and Amazon Advertising API endpoints. We do not engage in scraping, unauthorized automation, reverse engineering of Amazon's systems, or any activity that violates Amazon's policies or that could jeopardize your seller account standing.

Revoking Access: You may revoke BOPOWO's access to your Amazon seller account at any time by: (a) navigating to Seller Central → Settings → Authorized Applications and removing BOPOWO, or (b) using the disconnect option in BOPOWO's account settings. Upon revocation, we will delete your credentials and queued data as described in Section 9 of our Privacy Policy.

BOPOWO has submitted an Amazon SP-API developer application and operates under Amazon's developer policies pending authorization. This section describes the data governance framework that applies to your Amazon data within BOPOWO:

Governing Agreements: Your Amazon seller data processed by BOPOWO is governed by (a) the Amazon Developer Agreement, (b) the Amazon Data Protection Policy (DPP), and (c) the Amazon Acceptable Use Policy (AUP), in addition to these Terms and our Privacy Policy. In the event of any conflict between these Terms and Amazon's applicable policies with respect to Amazon data, Amazon's policies take precedence.

Limited Authorization: By connecting your Amazon account, you grant MUTAO INTERNATIONAL LIMITED a limited, revocable authorization to access your Amazon SP-API data solely for the purpose of providing the Service to you. This authorization does not transfer ownership of your data and does not grant us any rights beyond what is necessary to operate the Service.

Authority to Grant Access: You represent and warrant that you have the legal authority to grant BOPOWO access to the Amazon seller account you connect. If you are connecting a client's account on their behalf (e.g., as an agency), you represent that you have obtained all necessary consents and authorizations from the account holder.

Data Use Restrictions: MUTAO INTERNATIONAL LIMITED will not use Amazon data (including your seller data and any buyer data) for any purpose beyond delivering the Service to you. We will not sell, share, transfer, or monetize Amazon data for any external purpose.

Amazon Audit Rights: You acknowledge that Amazon may audit BOPOWO's use of SP-API data and compliance with Amazon's developer policies. You agree not to interfere with any such audit.

Account Suspension or Revocation: You must notify MUTAO INTERNATIONAL LIMITED immediately (at support@bopowo.com) if: (a) your Amazon seller account is suspended or terminated; (b) Amazon revokes or restricts your SP-API access; or (c) you receive any notice from Amazon regarding unauthorized API usage. Upon such notice, we will take appropriate steps to pause or terminate API access on our end.

BOPOWO offers subscription plans as described on our pricing page. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel.

Free Trial: New accounts will receive a 14-day free trial with full Professional access. No credit card is required to start a trial. At the end of the trial, your account will be downgraded to the free tier unless you subscribe.

Billing Cycle: Subscriptions are billed in advance at the start of each billing period. Annual plans are billed in full at the start of the year.

Price Changes: We will provide at least 30 days' notice before increasing subscription prices. Notice will be given by email and in-platform notification. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, GST, or similar taxes applicable to your subscription in your jurisdiction.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to your paid tier until the period ends.

Refund Policy: We offer a 14-day money-back guarantee for new paid subscriptions. If you are unsatisfied within 14 days of your first payment, contact support@bopowo.com for a full refund. After 14 days, payments are non-refundable except where required by applicable law.

Annual plan refunds after the 14-day window will be considered on a case-by-case basis and may be prorated for unused months at our discretion.

We reserve the right to suspend or terminate accounts that violate these Terms, Amazon's policies, or applicable law, without refund.

You agree not to use the Service to:

• Violate any applicable law, regulation, or Amazon policy (including Amazon's Selling Policies, Seller Code of Conduct, and Developer Agreement)
• Access, tamper with, or use non-public areas of the Service or Amazon's systems
• Attempt to probe, scan, or test the vulnerability of the Service or any related system
• Interfere with or disrupt the integrity, performance, or availability of the Service
• Harvest, collect, or store personal data about other users or Amazon buyers beyond what is displayed in your own authorized dashboard
• Use the Service for any fraudulent, deceptive, or misleading purpose
• Resell, sublicense, or provide access to the Service to third parties without our written permission (except as explicitly permitted under agency or multi-account plan arrangements)
• Attempt to extract, scrape, or bulk-download Amazon data beyond the scope of your authorized SP-API access
• Use BOPOWO to access or manage Amazon seller accounts that you are not authorized to access
• Violate Amazon's Selling Policies, including policies regarding listing manipulation, review manipulation, or prohibited product listings

Violation of this section may result in immediate account termination without refund. We reserve the right to report violations of Amazon's policies to Amazon if required by Amazon's developer terms.

MUTAO INTERNATIONAL LIMITED and its licensors own all right, title, and interest in the Service, including all software, algorithms, designs, trademarks, trade names, and platform content (excluding your data).

Your Amazon seller data remains yours. By using the Service, you grant MUTAO INTERNATIONAL LIMITED a limited, non-exclusive, revocable license to access, process, and display your data solely to provide the Service to you. This license terminates upon account deletion or revocation of Amazon API access.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restrictions are prohibited by applicable law.

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference and available at bopowo.com/privacy. The Privacy Policy explains in detail how we collect, use, protect, and retain your personal information and your Amazon seller data, including our buyer data handling obligations.

You are responsible for ensuring you have the necessary rights, consents, and authorizations to share any data you provide to or access through BOPOWO, including ensuring that your use of the Service complies with your obligations to Amazon and to any individuals whose data you process.

The Service is designed to integrate with third-party services, including Amazon's SP-API and Advertising API, payment processors, and email delivery providers. Your use of those integrations is subject to the relevant third-party terms and policies, including Amazon's Developer Agreement and Data Protection Policy.

We are not responsible for the availability, accuracy, security, or practices of third-party services, including Amazon's APIs. Data displayed in BOPOWO will be sourced from Amazon's APIs and is subject to the accuracy and completeness of Amazon's data. Links to third-party websites from our platform are provided for convenience only and do not constitute endorsement.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. Amazon data displayed in BOPOWO will be sourced from Amazon's APIs and will reflect the accuracy of those APIs — we do not guarantee the completeness or accuracy of data retrieved from Amazon.

Nothing in the Service constitutes financial, legal, tax, or investment advice. You are solely responsible for all business decisions made using BOPOWO data or analytics. Past performance data displayed in BOPOWO does not guarantee future results.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUTAO INTERNATIONAL LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MUTAO INTERNATIONAL LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MUTAO INTERNATIONAL LIMITED IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of no less than 30 days following written notice of the dispute.

If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
